1. About these terms

These Terms of Service ("Terms") govern your access to and use of this website and the products, quotes, orders and services offered through it (together, the "Services"). By using the site, creating an account, requesting a quote, or placing an order, you agree to these Terms. If you do not agree, do not use the Services.

We provide building materials and related services to the building trade — builders, general contractors, remodelers, designers, and property owners and managers. The Services are intended for business and commercial use.

2. Accounts and trade accounts

Some pricing and features are available only to approved trade accounts. To apply, you may be asked for business information, a tax ID (EIN) and a resale certificate. We may approve, decline, suspend or revoke an account at our discretion.

You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly if you suspect unauthorized use.

3. Pricing and taxes

Prices, availability and lead times are subject to change and are not confirmed until an order is accepted. Pricing shown to approved accounts is confidential and provided for your business use only.

Tax-exempt (resale) pricing requires a valid resale certificate on file. You are responsible for keeping it current and for any tax that applies if it is invalid or expired.

4. Quotes

A quote is an estimate for planning, not a binding offer, and is valid only for the period stated on it. The quantities, measurements and specifications you provide are your responsibility; we rely on them to prepare quotes and orders.

5. Orders and acceptance

All orders are offers to purchase and are subject to our acceptance, product availability, and confirmation of current pricing. We may decline or limit any order. A binding contract is formed only when we confirm and accept your order.

6. Custom, made-to-order and special-order items

Manufactured, cut-to-size, finished-to-spec, and special-order items are produced to the specifications you approve. Once production or a special order begins, these items are generally non-cancelable and non-returnable except for a defect or our error. You are responsible for confirming sizes, finishes, colors and quantities before you approve them.

Natural materials — such as stone and wood — vary in color, veining and grain. Reasonable variation is inherent to the material and is not a defect.

7. Payment

Payment terms are as stated on your quote, order or account agreement. Deposits may be required for custom and special-order work. Past-due balances may accrue interest and may pause shipment or production. Title to goods passes to you on full payment.

8. Delivery, freight and risk of loss

Delivery dates are estimates. Unless agreed otherwise, risk of loss passes to you on delivery to the carrier or to the job site. Inspect all deliveries on arrival and note any damage or shortage on the delivery receipt; see our Refund & Returns and Warranty pages for how to report and resolve issues.

9. Changes and cancellations

Requests to change or cancel an order must be made in writing and are subject to our acceptance and to any costs already incurred, including for custom and special-order work.

10. Returns and warranties

Returns are governed by our Refund & Returns policy, and product coverage is described on our Warranty page. Except as expressly stated there, the Services and products are provided without other warranties, and any implied warranties are disclaimed to the fullest extent permitted by law.

11. Website use and intellectual property

The site, its content and its design are owned by us or our licensors and are protected by law. You may use the site only for legitimate business purposes related to purchasing from us. Do not copy, scrape, resell or misuse the content, forms, accounts or portal, attempt to access other accounts, or interfere with the site's operation.

12. Third-party links and services

The site may link to third-party sites or services we do not control. We are not responsible for their content, products or practices.

13. Disclaimers and limitation of liability

The site is provided "as is." To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, arising from the site, the Services or the products, and our total liability for any claim will not exceed the amount you paid for the product or service giving rise to the claim.

14. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your misuse of the Services or your breach of these Terms.

15. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. The exclusive venue for disputes is the state or federal courts located in [your county, e.g. Harris County], Texas.
